1. Acceptance of Terms

By accessing or using SpireStock ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

2. Service Description

SpireStock is a cloud-based distribution management platform that provides:

• Order management and fulfillment tracking
• Inventory and warehouse management
• Route planning and delivery optimization
• Sales force automation and beat planning
• Invoicing, billing, and GST-compliant financial reporting
• Analytics dashboards and business intelligence
• Retailer and distributor relationship management

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time with reasonable notice to active subscribers.

3. Account Terms

When creating an account on SpireStock, you agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Promptly notify us of any unauthorized use of your account
• Not share your account credentials with unauthorized individuals

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

4.1 Free Trial

SpireStock offers a 30-day free trial that does not require a credit card or payment information upfront. At the end of the trial, you must subscribe to a paid plan to continue using the Platform.

4.2 Pricing and Currency

All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes (GST). Current pricing is available on our pricing page. We reserve the right to change pricing with 30 days' advance notice to existing subscribers.

4.3 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Payment is due on the billing date and will be automatically charged to your registered payment method.

4.4 Late Payments

If payment fails, we will attempt to charge your payment method again over the next 7 days. If payment remains unsuccessful, your account may be downgraded or suspended until the outstanding balance is settled.

5. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, logos, and documentation, are owned by SpireStock or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for your internal business purposes.

You retain all ownership rights to the data you upload to the Platform. By using our services, you grant us a limited license to process your data solely for the purpose of providing the Platform's functionality.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform
• Introduce malicious code, viruses, or other harmful material
• Interfere with or disrupt the integrity or performance of the Platform
• Access or attempt to access another user's account without authorization
• Resell, sublicense, or redistribute access to the Platform without our written consent

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the use of the Platform. This includes your business data, our proprietary technology, and any non-public information shared between the parties. Confidentiality obligations survive termination of these Terms.

8. Service Availability

We aim to maintain 99.9% uptime for the Platform. However, we do not guarantee uninterrupted access and the Platform may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice where possible)
• Emergency maintenance or security patches
• Factors beyond our reasonable control (force majeure events)
• Third-party service provider outages

9. Limitation of Liability

To the maximum extent permitted by applicable law, SpireStock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Platform.

Our total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to SpireStock in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate the subscription:

• You may cancel your subscription at any time through your account settings or by contacting us
• We may terminate your account for material breach of these Terms with 14 days' written notice
• We may terminate immediately if you engage in fraudulent or illegal activity

Upon termination, your right to access the Platform ceases. You may request an export of your data within 30 days of termination. After this period, your data will be permanently deleted.

11. Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be resolved as follows:

• Both parties shall first attempt to resolve disputes through good-faith negotiation
• If negotiation fails, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996
• The seat of arbitration shall be Mumbai, Maharashtra, India
• The language of arbitration shall be English
• The courts of Mumbai shall have exclusive jurisdiction for any matters not subject to arbitration

12. Amendments

We reserve the right to update these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Your continued use of the Platform after the effective date of updated Terms constitutes acceptance.
