1. Introduction

These Terms and Conditions ("Terms") govern your use of the SpireStock platform and related services provided by SpireStock ("we," "us," or "our"). By subscribing to or using our services, you ("the Customer") agree to be bound by these Terms. Please read them carefully before proceeding.

2. Scope of Services

SpireStock provides a cloud-based distribution management platform, including but not limited to:

• Order management and capture across salesmen, retailer portals, and WhatsApp
• Delivery tracking, route optimisation, and proof of delivery
• Crate and returnable-container tracking
• GST-compliant billing, invoicing, and scheme management
• Inventory management across warehouses and depots
• Real-time analytics, dashboards, and reporting
• Onboarding, training, and customer support services

Our services are delivered on a subscription basis. Your use of the platform is subject to the plan you select and the terms of your subscription.

3. Customer Obligations

By subscribing to our services, you agree to:

• Provide accurate, complete, and truthful business and billing information
• Use the platform solely for lawful business purposes
• Maintain the confidentiality of your account credentials and user logins
• Notify us promptly of any unauthorised access or security incidents
• Not attempt to reverse-engineer, copy, or resell the platform
• Pay all subscription and usage fees in accordance with your selected plan
• Comply with all applicable Indian laws, including GST and data protection regulations

4. Payment Terms

4.1 Subscription Fees

Subscription fees are as quoted in your selected plan or as agreed in writing. All fees are quoted in INR unless otherwise specified. Fees are subject to change, but any changes will be communicated in advance and will not affect existing billing cycles.

4.2 Payment Schedule

Subscription fees are billed monthly or annually in advance, depending on your selected plan. We accept payment via UPI, net banking, credit card, debit card, and bank transfer through our integrated payment gateway.

4.3 Usage-Based Charges

Certain features (SMS, WhatsApp Business messages, additional user seats beyond plan limits) are billed on a usage basis. These charges are calculated at the end of each billing period and added to your next invoice.

4.4 Late Payment

If payment is not received by the due date, we reserve the right to suspend access to the platform until payment is received. Continued non-payment for more than 30 days may result in termination of your account and deletion of your data after a grace period.

5. Service Delivery and Availability

While we strive to maintain high availability, the platform is provided on an "as-is" and "as-available" basis. Performance may depend on factors outside our control, including:

• Internet connectivity on your premises and in the field
• Third-party service providers (payment gateways, WhatsApp Business, SMS gateways)
• Cloud infrastructure uptime
• Customer data quality and system configuration
• Scheduled maintenance windows, announced in advance

We target 99.5% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance wherever possible.

6. Limitations of Liability

To the fullest extent permitted by law:

• We do not guarantee specific business outcomes from using the platform. Results depend on your team, processes, and market conditions.
• We shall not be liable for any delays, errors, or losses resulting from inaccurate data entered by the Customer or its users.
• We shall not be liable for service interruptions caused by third-party providers, internet outages, or force majeure events.
• Our total liability for any claim arising from our services shall not exceed the total subscription fees paid by the Customer in the three (3) months preceding the claim.
• We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, missed orders, or business disruptions.

7. Confidentiality

We treat all customer data as confidential and will not disclose it to third parties except as necessary to provide our services (such as payment processing, integrations you enable, or hosting infrastructure), as required by law, or with your written consent.

8. Intellectual Property

All content on our website and platform, including software, text, graphics, logos, and images, is the property of SpireStock and is protected by intellectual property laws. You may not reproduce, distribute, or use our content without prior written permission. You retain full ownership of your business data entered into the platform.

9. Termination

Either party may terminate the subscription with written notice. In the event of termination:

• Fees for the current billing cycle are non-refundable
• You will retain access to the platform through the end of the current billing period
• We will provide an export of your business data upon request, in standard formats (Excel, CSV)
• Your data will be retained for 90 days after termination for recovery, then permanently deleted

We reserve the right to immediately suspend or terminate service without refund if the Customer violates these Terms or uses the platform for unlawful purposes.

10. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• The parties shall first attempt to resolve the dispute through direct negotiation in good faith.
• If negotiation fails, the dispute shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings held in Mumbai, Maharashtra.
• These Terms shall be governed by and construed in accordance with the laws of India.

11. Amendments

We reserve the right to update these Terms at any time. Changes will be posted on our website with a revised date, and material changes will be communicated via email. Continued use of our services after such changes constitutes acceptance of the updated Terms.
